Terms of Service

These Terms of Service ("Terms") are an agreement between Arzyn Brothers Inc. (Ontario Corporation Number 1374912-6), with its registered office at 42 - 400 Newman Drive, Cambridge, Ontario, N1S 0E8, Canada ("CareShiftLTC", "we", "us") and the long-term care home or organization that creates a workspace ("you", the "Home"), as well as each individual user the Home authorizes (administrators, HR, managers, charge nurses, staff and staff). By creating an account or using CareShiftLTC, you accept these Terms. The version accepted and its timestamp are recorded on the Home's account.

1. The service

CareShiftLTC is a subscription software service for long-term care staffing: scheduling and rotations, open-shift posting and bidding, shift swaps, attendance and punch-clock, certifications and compliance tracking, in-app messaging and notifications, learning content, and related reporting. Features available to a Home depend on its subscription plan and the sections its administrators enable.

Excluded services. CareShiftLTC does not currently provide agency staffing, agency cover, a staffing marketplace, payroll processing, payroll-tax calculation or employee payments. It also does not currently provide vacation, sick-leave or call-in management, or infection surveillance and symptom tracking; Homes continue to handle time off, absence reporting and IPAC surveillance through their own processes and systems. These services are not included in any plan or fee under these Terms. Any future agency staffing service requires a separate written agreement signed by CareShiftLTC and the participating Home, with separate responsibilities, rates, fees and terms. Any future payroll, leave or surveillance service will likewise require separate written terms.

2. Accounts and responsibilities

The Home is the administrator of its workspace. The Home is responsible for the accuracy of the staff, scheduling and compliance data it enters, for inviting and removing users, for assigning roles correctly, and for its own employment, labour-relations and regulatory obligations. CareShiftLTC provides tools; it does not make staffing, clinical or employment decisions and is not the employer of any user.

Individual users must keep their login credentials confidential, enable two-factor authentication when offered, and use the service only for work authorized by their Home. You must promptly tell your administrator and us if you suspect unauthorized access.

Privacy roles. The Home is the organization responsible under Canadian privacy law for the personal information it enters into the service, and — in Ontario, where any personal health information is involved — the health information custodian for that information. CareShiftLTC acts only as the Home's service provider and agent: we collect, use, store, disclose, retain and dispose of that information solely on the Home's instructions and for the purpose of providing the service, never for our own purposes, and we do not sell it or use it for advertising. We keep the safeguards described in our Privacy Policy, restrict access to personnel who need it, keep an audit trail of privileged access, notify the Home of any privacy breach as described in that policy, and return or securely dispose of the Home's information at the end of the subscription. Nothing in these Terms makes CareShiftLTC a custodian in its own right.

You must not misuse the service — for example by attempting to access another home's data, interfering with the service, uploading malicious content, or using it for any unlawful purpose. We may suspend accounts that violate these Terms.

3. Subscriptions, billing and trials

Paid plans are billed per licensed bed per month, in advance, through our payment processor Stripe. Prices for each plan are shown on our pricing page; a Home's plan, bed count and any custom rate are recorded on its account. Promotional discounts (such as pilot pricing) apply only for the period stated when offered.

New Homes receive a free trial (30 days unless a different length is shown to the Home at sign-up). When the trial ends without billing being set up, the workspace becomes read-only — existing records stay visible, but creating and saving are disabled until a subscription is active. Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period and fees already paid are not refunded, except where required by law.

The regular subscription covers only the software features described in Section 1. Agency staffing and payroll services are excluded. Timesheet and attendance exports are records for the Home's independent payroll provider; they do not constitute payroll processing or payroll advice by CareShiftLTC.

If a subscription remains unpaid after reminders, the workspace may be locked and, after a grace period (30 days), the tenant and its data — including staff sign-in accounts — may be scheduled for deletion as described in our Privacy Policy.

4. Your data

The Home retains ownership of the data it and its users enter. You grant us the right to host, process and transmit that data solely to provide and improve the service, as described in our Privacy Policy. Each Home's data is isolated from every other Home. Administrators can export key records (such as timesheet, attendance and roster exports) while the subscription is active.

You are responsible for having the authority to enter staff personal information into the service and for informing staff about it, as required by applicable privacy and employment law.

5. Notifications

The service sends shift, approval, reminder and compliance notifications in the app, by email and by push notification to enrolled devices. Where a Home enables an optional text-message channel, message and data rates from your carrier may apply. Users can manage notification preferences in the app; some service and security notices are required and cannot be disabled while the account is active.

6. AI-assisted features

Some features (for example, extracting scheduling rules from uploaded union agreements) use automated processing. Results are provided as assistance to the Home's authorized users, who remain responsible for reviewing and confirming them before relying on them. We do not guarantee that extracted rules are complete or error-free.

7. Union agreement and labour-relations features

Features that interpret union or collective agreements — including extracting rules from uploaded agreements and surfacing seniority or rule-based suggestions for shift posting, bidding and confirmation — are a supportive administrative tool only. They are provided solely to assist the Home's HR and scheduling staff in reviewing options; they do not interpret a collective agreement definitively, and they do not make, confirm or override any staffing decision. All scheduling and assignment decisions, and all responsibility for compliance with the applicable collective agreement and labour-relations law, remain entirely with the Home.

CareShiftLTC is not a party to, and will not participate in, any collective agreement, union grievance, arbitration or labour-relations proceeding. The Home agrees that CareShiftLTC may not be named, joined or called as a witness, respondent or party in any such proceeding arising from the Home's use of these features, and that the Home is solely responsible for any grievance, claim or labour-relations outcome arising from or related to the use of these features.

8. Availability and changes

We aim for high availability but do not guarantee uninterrupted service. We may maintain, update or modify features over time; where a change materially reduces a paid feature, we will give reasonable notice. The service is not a substitute for the Home's own contingency planning for staffing emergencies.

CareShiftLTC is a supportive tool for filling staffing gaps and assisting with scheduling only. The Home is solely responsible for meeting its staffing needs at all times, including during any technical error, outage, delay or unavailability of the service, and must maintain its own processes (such as on-call lists, phone trees and agency contacts) to cover shifts in those circumstances. We are not liable for any staffing shortfall, missed shift or related loss arising during or after any technical error or period of unavailability.

9. Third-party services

The service relies on independent third-party providers, including cloud hosting, payment processing (Stripe), email delivery, push-notification and AI processing networks. We are not responsible for the acts, omissions, outages or policies of these third parties, and your use of any third-party service may be subject to that provider's own terms. Our responsibility is limited to the reasonable selection and integration of reputable providers.

10. Disclaimers

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties and conditions, express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. Without limiting the foregoing, we do not warrant that the service will meet the Home's regulatory, accreditation or labour-relations requirements, that outputs (including timesheet exports, compliance scores and extracted contract rules) will be complete or error-free, or that the service will be uninterrupted, timely or secure.

CareShiftLTC does not provide legal, clinical, payroll-tax, accounting or labour-relations advice. Outputs of the service are information tools for qualified staff to review, not professional advice.

11. Limitation of liability

To the maximum extent permitted by law, Arzyn Brothers Inc. and its directors, officers, employees, contractors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenues, data, goodwill or business opportunities, or for the cost of substitute services, arising out of or relating to the service or these Terms, however caused and under any theory of liability, even if advised of the possibility of such damages.

Without limiting the foregoing, we are not liable for any loss arising from staffing decisions, missed or unfilled shifts, employee or union claims, grievances, payroll errors, or regulatory penalties incurred by the Home.

Our total aggregate liability arising out of or relating to the service or these Terms is limited to the amounts the Home actually paid us in the twelve months before the event giving rise to the claim (or, if less than twelve months have passed, the amounts paid to date). This Section applies to the maximum extent permitted by law and survives termination of these Terms.

12. Limitation period

To the maximum extent permitted by law, any claim or cause of action arising out of or relating to the service or these Terms must be commenced within one (1) year after the claim or cause of action arose; otherwise it is permanently barred.

13. Exculpatory clause

The Home acknowledges and agrees that the service is a data-management and scheduling support tool, and that the Home assumes full responsibility for how its outputs are used. CareShiftLTC is not responsible for, and is released from, any claim arising from the Home's reliance on schedules, suggestions, extracted rules, reports or other outputs of the service, or from the acts or omissions of the Home's staff, administrators or other users.

14. Indemnification

The Home will defend, indemnify and hold harmless Arzyn Brothers Inc. and its directors, officers, employees and contractors from and against any and all claims, demands, actions, damages, losses, liabilities, fines, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) the data the Home or its users enter into the service; (b) the Home's employment, scheduling, payroll, privacy or labour-relations decisions and obligations, including any union grievance or claim by an employee, union or regulator; (c) the Home's breach of these Terms or violation of applicable law; or (d) any misuse of the service by the Home's users.

15. Force majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, epidemics, labour disruptions, utility or telecommunications failures, internet or cloud-provider outages, cyberattacks, war, terrorism, or acts of government.

16. Termination

Either party may end the subscription as described in Section 3. We may suspend or terminate access immediately for material breach of these Terms, unlawful use, or risk to other customers. On termination, the Home may request an export of its data within the 30-day grace period before deletion. Sections that by their nature should survive (including Sections 4, 7, 10 through 14 and 17) survive termination.

17. Governing law, jurisdiction and cross-border use

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The courts located in Ontario have exclusive jurisdiction, except where applicable consumer law provides otherwise.

The service is offered to long-term care and retirement homes in Canada only. Homes outside Ontario are solely responsible for determining whether the service is suitable for their own regulatory environment and for complying with the staffing, labour, employment, privacy and health-information laws of their province, territory and municipality (for example provincial nurse-staffing and hours-per-resident-day rules, employment standards legislation and health-privacy law). Staffing-hour standards, regulator names and union-contract materials shown in the app are provided as a convenience only, may not reflect the current law of your jurisdiction, and do not constitute legal, labour-relations or compliance advice. The Home must verify every figure against its own regulator's current requirements before relying on it.

Data is stored and processed in Canada by us and by our service providers. By using the service the Home consents to that processing.

18. Changes to these Terms

We may update these Terms from time to time. For material changes we will give notice in the app or by email before the change takes effect, and continued use after the effective date constitutes acceptance. The acceptance version and timestamp are recorded on the Home's account.

19. Severability and assignment

If any provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will continue in full force. You may not assign or transfer these Terms without our written consent; we may assign them in connection with a merger, reorganization or sale of assets, with notice to the Home.

20. Entire agreement

These Terms, together with the Privacy Policy and any order or plan selection recorded on the Home's account, are the entire agreement between the parties regarding the service and supersede all prior discussions or understandings. Headings are for convenience only.
